Terms of Service

Agreement summary: By using Vonga, you agree to these terms. Teams are responsible for their use of the platform and how they collect fan data. Vonga provides the platform "as is" with uptime targets of 99.5%.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Vonga Fan Intelligence Platform, including all associated websites, APIs, and services (collectively, the "Service"), operated by Vonga Inc. ("Vonga," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you are accessing the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Vonga provides a SaaS platform that enables sports teams and universities to:

  • Build first-party fan profiles through NFC-enabled merchandise
  • Measure sponsor ROI and fan engagement
  • Deliver personalized content to fans via NFC tap events
  • Generate analytics, reports, and insights from fan interaction data

The Service may evolve over time. Vonga reserves the right to modify, suspend, or discontinue features with reasonable notice to active customers.

3. Accounts and Access

To use the Service as a team/organization, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials
  • Notify Vonga promptly of any unauthorized account access
  • Be responsible for all activity occurring under your account

Vonga reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Collect data on individuals without appropriate notice and consent
  • Transmit malware, spam, or harmful code
  • Attempt to reverse-engineer, decompile, or derive source code from the Service
  • Use the Service to build a competing product or service
  • Circumvent security measures or access controls
  • Resell or sublicense the Service without Vonga's written permission

5. Fan Data and Privacy Obligations

As a customer collecting fan data through the Service:

  • You are the data controller for your fans' personal data
  • You are responsible for providing fans with appropriate privacy notices
  • You must comply with all applicable data protection laws (including GDPR, CCPA, and others)
  • You grant Vonga the right to process fan data solely to provide the Service to you
  • You must not use fan data for purposes beyond those disclosed to fans

For EU customers, a Data Processing Agreement (DPA) is available upon request at privacy@vonga.io.

6. Intellectual Property

Vonga's IP: The Service, including all software, designs, trademarks, and content created by Vonga, is owned by Vonga and protected by intellectual property law. These Terms do not transfer any ownership rights to you.

Your IP: You retain ownership of all content you upload or create through the Service (team branding, fan-facing content, campaign materials). You grant Vonga a limited license to host and process this content solely to provide the Service.

Fan data: Teams own their fan data. Vonga does not claim ownership of fan behavioral data generated through your use of the Service.

7. Subscription, Billing, and Cancellation

Vonga offers subscription plans as described on our Pricing page. By subscribing, you authorize recurring billing at the applicable rate.

  • Subscriptions renew automatically unless cancelled
  • Cancellation must be completed at least 24 hours before the next billing date to avoid charges for the next period
  • No refunds for partial subscription periods, except as required by law
  • Vonga may update pricing with 30 days notice to active subscribers

Payments are processed by Stripe. Vonga does not store payment card data.

8. Uptime and Service Level

Vonga targets 99.5% monthly uptime for the platform dashboard and tap service. Scheduled maintenance will be communicated in advance where possible. Uptime does not include:

  • Planned maintenance windows
  • Outages caused by third-party infrastructure (Supabase, Vercel, Stripe)
  • Force majeure events

Vonga does not provide refunds or credits for downtime below the uptime target unless a separate SLA has been negotiated in writing.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • VONGA PROVIDES THE SERVICE "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
  • VONGA IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • VONGA'S TOTAL LIABILITY TO YOU FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM

10. Indemnification

You agree to indemnify, defend, and hold harmless Vonga and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) your fan data collection practices.

11. Confidentiality

Both parties may have access to the other's confidential information during the relationship. Each party agrees to: hold the other's confidential information in strict confidence; use it only as necessary to perform obligations under these Terms; not disclose it to third parties without prior written consent.

Confidentiality obligations do not apply to information that is or becomes publicly available without breach of these Terms.

12. Term and Termination

These Terms remain in effect while you use the Service. Either party may terminate the relationship with 30 days written notice. Vonga may terminate immediately if you breach these Terms. Upon termination:

  • Your access to the Service will cease
  • You may export your data within 30 days of termination
  • Vonga will delete your data within 90 days of termination
  • Outstanding invoices remain due

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Disputes shall be resolved in the state or federal courts located in Delaware. You consent to personal jurisdiction in those courts.

If you are an EU customer, nothing in this section affects your rights under applicable EU consumer protection laws.

14. Changes to Terms

Vonga may update these Terms from time to time. Material changes will be communicated to active customers via email at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
